Atlas Creator Program Agreement

This agreement is between you and Goldhaven LLC ("Atlas", "we", "us"), and it governs your participation in the Atlas Creator Program. By submitting an application you confirm you have read it and agree to it. Please actually read it — the money sections in particular, because they define what you earn in a way that differs from most programs.
1. Who can join
You must be at least 18 and legally able to enter into a contract. You must not be an Atlas employee or contractor, or an immediate family member of one. Acceptance is at our discretion, and we may decline an application without giving a reason.
2. Your code and link
On approval you receive a referral code and a tracking link at atlasforhealth.com/r/<your-code>. The code is yours for as long as you are active in the program. It remains our property, we may reclaim it if you leave or if it infringes someone's rights, and you may not register domains, handles, or ad campaigns that imply the code makes you part of Atlas.
3. What you earn
Commission is paid on Net Revenue, not on the price the customer paid. This is the single most important thing in this agreement.
"Net Revenue" means the amount Atlas actually receives from a subscription payment, after two deductions we never see:
- App store commission. Apple and Google take between 15% and 30% of every transaction before it reaches us.
- Sales tax and VAT. Collected and remitted by the app stores, and never ours.
So on a $9.99 subscription where Apple takes 15%, Net Revenue is roughly $8.49, and your commission is calculated from that figure. We do this because paying on the customer's price would mean paying you a share of money Atlas never received.
Your rate is agreed with you individually — there is no single program-wide percentage. Your current rate is stated in your approval email and shown in your creator dashboard. We may offer promotional rates for a defined period; when a promotional period ends, your standard rate applies. Any change to your rate applies only to sales occurring after the change, never retroactively.
4. What counts as a qualifying sale
A commission is earned when a customer you referred converts to a paid subscription. Specifically:
- The customer's purchase carries your code, captured through your link or entered by them.
- They were not already an Atlas subscriber.
- The transaction is real and in production — sandbox and test purchases never earn.
- Free trials do not earn. You will see them in your dashboard, but commission is generated on conversion to paid.
Renewals continue to earn at your rate, but only for customers you originally acquired. A code applied to an existing subscriber's account does not transfer that customer to you.
What does not earn
- Purchases by you, your household, or accounts you control.
- Sales driven by coupon, cashback, deal, or incentive sites, or by offering users anything of value in exchange for subscribing.
- Paid search or app-store ads bidding on "Atlas", "Atlas app", or confusingly similar terms.
- Anything obtained through fraud, misrepresentation, bots, or automated traffic.
5. Refunds, cancellations and chargebacks
If a customer refunds or charges back, the commission on that sale is reversed at the rate it was earned at. That happens automatically and is visible in your dashboard.
If we have already paid you for a sale that is later refunded, the reversal creates a negative balance which is deducted from your next payout. It carries forward until your future commissions cover it. We do not invoice you for it, and if you leave the program with a negative balance we simply write it off — unless the balance arose from fraud, in which case we reserve the right to recover it.
Your dashboard shows active, cancelled, ended and refunded subscriber counts so you can see this happening rather than being surprised by a smaller cheque.
6. Getting paid

Payment processing fees
Sending money costs money, and that cost is deducted from your payout rather than added on top of it. We pass on what our payment processor charges us, at cost, with no markup. As of the effective date of this agreement that is $2.25 plus 0.25% of the payout. Every payout in your dashboard shows the commission earned, the fee deducted, and the amount actually sent, so you can check this yourself.
The fee is almost entirely fixed, which means it costs the same to send $50 as to send $500 — roughly 4.5% of the former and 0.7% of the latter. That is why you control your own payout threshold: waiting for a larger balance is money in your pocket, not ours. We do not profit from this fee in either direction.
If our processor changes its pricing we will update this section and the amount deducted, and we will tell you before it takes effect. If a payout would be smaller than the fee required to send it, we hold the balance and roll it forward instead.
You must complete tax onboarding before your first payout. That happens inside Stripe, not with us — you provide a Form W-9 (US) or W-8BEN (non-US) there, and Atlas never sees or stores your Social Security number or tax identification number. We hold only a confirmation from Stripe that your details are complete. Payouts cannot be released until they are.
You are responsible for your own taxes on what you earn. Where the law requires it, we or our payment provider will issue the relevant tax form — in the United States, generally a Form 1099 once you are paid $600 or more in a calendar year.
7. How you may promote Atlas
Disclose the relationship. Every post, video, story, email, or page promoting Atlas must make clear that you earn a commission. In the US this is required by the FTC. "#ad", "paid partnership", or a plain sentence saying you're compensated all work. Burying it in a bio or a comment does not.
You must not:
- Present yourself as Atlas, an Atlas employee, or an official Atlas channel.
- Misstate the price, the trial length, or what a subscription includes.
- Send unsolicited bulk email or DMs, or promote Atlas anywhere spam is what it would be.
- Place Atlas alongside content that is adult, hateful, illegal, or targeted at children.
- Make claims about what other creators earn.
8. Health claims — read this one carefully
Atlas is a health and fitness app. It is not a medical device, and it does not diagnose, treat, cure, or prevent any disease. When you promote Atlas you must not say or imply otherwise.
Specifically, do not claim that Atlas treats or manages a medical condition, that it replaces advice from a doctor or dietitian, or that using it will produce a particular medical outcome. Do not guarantee weight loss, body composition changes, or any specific health result. Share your own experience freely — that is why you're here — but frame it as your experience rather than as a promise to someone else.
This protects you as much as us. Health claims are the fastest way for a creator to attract a regulator's attention, and a claim made in your video is a claim you made.
9. Brand assets
We grant you a limited, revocable, non-exclusive licence to use the Atlas name and logo solely to promote Atlas under this agreement. Don't modify the mark, don't use it as your own avatar or logo, and don't use it in a way that suggests Atlas endorses anything other than Atlas. The licence ends when your participation does.
10. You are an independent contractor
This agreement does not make you an employee, partner, agent, or joint venturer of Atlas. You decide how, when, and where you promote. You have no authority to make commitments on our behalf, and you're responsible for your own expenses, equipment, insurance and taxes.
11. Confidentiality
Your commission rate, your dashboard figures, and anything we share with you about unreleased features are confidential. You may discuss your own earnings publicly if you want to — that's yours — but please don't share other creators' terms, internal metrics, or roadmap information.
12. Ending it
Either of us may end this agreement at any time, for any reason, by written notice — email counts. If we end it without cause, commissions already earned and past the holding period are paid on the next normal cycle. If we end it because you breached this agreement or acted fraudulently, unpaid commissions are forfeited and we may reverse commissions already paid on affected sales.
13. Changes to the program
We may change this agreement or the structure of the program. We'll give at least 14 days' notice by email or in your dashboard, and continuing in the program after that counts as acceptance. Rate changes never apply retroactively to sales that already happened.
14. No guarantees
The program is provided as-is. We don't promise any level of earnings, traffic, conversion, tracking accuracy, or uptime. Attribution depends on app-store and device behaviour that is partly outside our control — we've built it as carefully as we can and we'll investigate anything that looks wrong, but we can't guarantee that every referral is captured.
To the fullest extent the law allows, our total liability under this agreement is limited to the commissions we paid you in the six months before the claim, and we are not liable for indirect or consequential losses, including lost profits.
15. Governing law
Goldhaven LLC is organised under the laws of the State of Utah. This agreement is governed by Utah law, without regard to conflict-of-law rules, and the state and federal courts located in Cache County, Utah have exclusive jurisdiction over any dispute arising from it. You and Atlas each consent to that jurisdiction and waive any objection based on inconvenient forum.
